Job Description:

Position Summary: Provide on-going support and administration for all executive and senior management compensation and benefits plans globally. Provide complex data analysis for senior management on compensation issues. Assist with preparation of materials for the compensation committee of the board of directors. Provide analysis in support of changes to executive and senior management benefit and incentive plans that arise as a result of corporate actions (mergers, acquisitions, reorganizations and divestitures), philosophical changes, technological advances or state and federal legislation and implement such changes.  Responsibilities and Accountabilities: • Support the administration, coordination and communication of executive services programs for applicable events including new hires, promotions, demotions, terminations, special terminations, retirements, annual deferral elections, annual payments, special payments, bonus payments, exercise of options, restricted stock arrangements, performance unit arrangements, and imputed income. This includes coordination with external vendors, and global accounting, payroll, and treasury. • Support compensation and benefits related initiatives including annual deferral plan enrollment, annual long-term incentive plan grants, implementation of plan changes (design changes, changing market conditions. Support HR Generalist community with compensation and incentive plans issues. • Provide data to Legal and Accounting in support of proxy, 10K/Q preparation, Dutch annual report, as well as other ongoing reporting requirements. • Provide data analysis to Global Director, Compensation Benefits in support of plan design changes and updates to Compensation Committee. • Coordinate, plan and develop internal and external communications to create satisfaction and understanding of executive and senior management benefit and incentive programs in keeping with corporate goals and objectives. • Support Sr. Manager, Executive Services in managing external vendor relationships. Coordinate and monitor data interfaces with vendors, including data audits. • Periodically review and audit payroll, SAP, and third-party administrators to ensure accurate processing and posting of participant and contribution data. • Coordinate with HRMS and IT for all system enhancements regarding global short-term incentive plans and executive and senior management plans administration, including identification of project specifications and system testing. • Responsible for coordinating and maintaining the Global Employee Stock Purchase plans in five countries. Responsible for coordinating semi-annual enrollments, quarterly purchases, and monitoring and coordinating global taxation changes to ensure programs and employees are taxed appropriately in each country. Responsible for maintaining program with external vendors including any updates or modifications to the plan as well as IRS reporting on an annual basis for US employees (Forms 6039). • Responsible for the quarterly and annual external audit of the global stock programs including any activity pertaining to grants, forfeitures, payouts, as well as providing detailed reconciliations to the third-party vendor and coordinating the audit of the short-term incentive plan. • Support Sr. Manager, Executive Services in the coordination of the global payroll reporting requirements for the Board of Directors including determining all travel calendars, tax residency, vacation entitlements for the purposes of providing pay slips, remitting taxes to UK and NL tax authorities, as well as RSU vesting events and coordinating the delivery of annual grant packages and the annual tax returns. • Responsible for preparing all payroll requests for global payrolls including the payment of dividend equivalents, various stock transactions (vesting, exercises, etc.), severance payments, cash retention award payouts and vacation payouts. • Support Sr. Manager, Executive Services in preparing and reviewing Severance Matrices for employees who are either part of the Special Termination Plan or Retirees for the Company and the affected employee to understand the various costs and entitlements. • Responsible for providing benefits Accounting Monthly/Quarterly updates on the incentive plans, and Company-owned life insurance policies. • Responsible for updating and maintaining Section 16 Officer holding requirements. • Support Sr. Manager, Executive Services in working with external Accounting Firm and Foreign Translation Services Firm to prepare Form 4 filings, updating Supervisory Board Certificates of Deferral, translating miscellaneous documentation received, as well as managing requests for new analyses as it pertains to the Board and the various forms of Compensation. • Responsible for calculation and preparation and activation of all incentive grants and awards including annual grants, promotional awards, incentive awards, retention awards and sign on awards.  Educational and Job Qualifications: Minimum Qualifications • Bachelors Degree • Minimum of 7 years related experience required. • Advanced with Microsoft Outlook, Microsoft Word and Microsoft PowerPoint. Exceptionally skilled with Microsoft Excel and Microsoft Access. • Proficient with SAP HR or equivalent systems. • Knowledgeable in areas of Federal and State laws and regulations regarding non-qualified benefit programs and incentive plans.   Preferred Qualifications • Knowledgeable of payroll tax with global implications. • Masters Degree or Certified Executive Compensation • Excellent interpersonal and communication skills to successfully interact with all levels within the organization as well as retired executives. • Demonstrated record of self-direction, adaptability, and real-time problem solving and decision-making. • Independent thinking, results oriented, teamwork oriented. • Ability to master new concepts quickly. • Highly analytical, including the ability to synthesize and analyze incongruous data sets • Experience with Solium Shareworks equity administration software • Knowledge of Legal and Accounting reporting requirements.
